Terms of Service

These Terms govern access to and use of the Eolas Technologies website (eolasdata.com) and the PreFlight application and service (app.eolasdata.com and any associated API) (the "Service").
They form a binding agreement between you ("Customer") and Eolas Technologies Ltd, registered in England and Wales, registered office 71–75 Shelton Street, Covent Garden, London WC2H 9JQ.
By creating an account, purchasing a plan, or using the Service, you agree to these Terms.
1. The Service
PreFlight is an upstream data validation tool: you submit a dataset, PreFlight runs deterministic checks and returns a report with a PASS/WARN/FAIL verdict plus detail.
PreFlight is non-decisioning — it reports; you decide. It does not make, approve, block, or execute any action on your data or pipelines. Every decision to ingest, reject, or modify a dataset is solely yours.
Verdicts and reports are informational outputs, not instructions, guarantees, or advice.
2. Accounts
A valid email address and password are required to create an account. You are responsible for your credentials, API key, and all activity under your account.
You must provide accurate information, notify us promptly of any unauthorised use, and be at least 18 years of age and using the Service for business purposes.
3. Plans, Billing, and Payment
PreFlight is offered on paid plans (Tier 1, Tier 2, Tier 3, and Run Pack), each with a defined allowance of validation runs per billing period. Pricing is shown at purchase.
Payments are processed by Stripe. By purchasing, you authorise the applicable charges. Subscriptions automatically renew each billing period until cancelled.
Run allowances apply per billing period; unused runs have no cash value. We may change plans, features, or pricing on reasonable notice without affecting the billing period already paid for.
4. Cancellation and Refunds
You may cancel at any time from your account or the customer portal. Unless required by law, cancellation takes effect at the end of the current billing period and you retain access until then.
Fees already paid are non-refundable except where required by applicable law or where we expressly agree otherwise. Your statutory rights are unaffected.
5. Acceptable Use
You will not:
Use the Service unlawfully or process data you lack rights to
Upload unlawful content
Attempt unauthorised access or circumvent security or usage controls
Interfere with the Service
Reverse engineer, copy, resell, or create derivative works except as permitted by law
Exceed or bypass your plan's run limits
6. Your Data and Privacy
You retain all rights in your datasets; we claim no ownership. Datasets are processed transiently and deleted immediately after validation — they are not retained.
Validation reports are stored in your account, under your control to view, export, or delete.
Personal data handling is described in our Privacy Policy, which forms part of these Terms.
You are responsible for having the rights to submit any dataset.
7. No Reliance; Assumption of Responsibility
PreFlight is one control among many. It is not a guarantee that a dataset is correct, complete, safe, or fit for purpose, and not a substitute for your own judgement, testing, and safeguards.
A PASS does not warrant a dataset is free of all issues. A WARN or FAIL does not oblige you to take or refrain from any action. You are solely responsible for any decision or action taken or omitted in connection with a dataset, whether or not you used a PreFlight report.
You agree not to rely on the Service as your sole means of validating data and accept responsibility for the outcomes of your decisions.
8. Intellectual Property
The Service (software, validation logic, content, and materials) is owned by Eolas Technologies Ltd.
Subject to these Terms and your active plan, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for internal business purposes. No other rights are granted.
9. Disclaimer of Warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.
We do not warrant that the Service is uninterrupted, error-free, or that it detects all issues. Nothing in these Terms excludes warranties or liability that cannot be excluded under applicable law.
10. Limitation of Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill.
Our total aggregate liability arising from or relating to the Service will not exceed the amount you paid us for the Service in the 12 months before the claim.
Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
11. Indemnification
You indemnify and hold harmless Eolas Technologies Ltd from claims, damages, and expenses arising from your misuse of the Service, breach of these Terms, or submission of data you had no right to submit.
12. Suspension and Termination
We may suspend or terminate access for breach, non-payment, or risk of harm. You may stop using the Service at any time. On termination, your right to use the Service ends. Sections 7–11 survive termination.
13. Third-Party Services
The Service relies on third parties (including Stripe for payments and cloud infrastructure for hosting). We are not responsible for their acts or omissions; their own terms may apply.
14. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date reflects the current version. Material changes will be communicated through the Service. Continued use after changes constitutes acceptance.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
16. Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
